Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Canela Code LLC (d/b/a OnlyEngage, “OnlyEngage,” “we,” “us”) governing your access to and use of the OnlyEngage website, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & Age Requirement

The Service is intended for content creators and is available only to individuals who are at least 18 years of age (or the age of majority in your jurisdiction, if higher). The Service may surface or help you manage adult-oriented content. By using the Service you represent and warrant that you are 18 or older, that any content you upload or manage depicts only adults, and that you hold all rights necessary to use it. We may require identity or age verification (including third-party verification such as Stripe Identity) for certain features, and we may suspend accounts that fail or refuse verification.

2. Your Account

You are responsible for safeguarding your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly at support@onlyengage.com of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms.

3. Your Content & License

You retain all ownership of the photos, captions, profiles, and other material you submit (“Your Content”). You grant OnlyEngage a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display Your Content solely to operate and provide the Service to you — for example, to scan for unauthorized copies, enhance images, generate captions, watermark assets, and publish on your behalf where you direct us to. This license ends when you delete Your Content or close your account, except for copies retained as required by law or for legitimate backup, security, and compliance purposes.

You are solely responsible for Your Content and represent that you own it or have all necessary rights, and that it does not infringe any third party's rights or violate any law.

4. AI & Automated Features

The Service uses third-party AI providers to generate captions, bios, and other suggestions, and to assist with content scanning and enhancement. AI output may be inaccurate, generic, or unsuitable; you are responsible for reviewing it before use. We do not guarantee that AI-assisted DMCA scanning will detect every unauthorized copy, or that generated takedown notices will result in removal. These tools assist your judgment; they do not replace it or constitute legal advice.

5. Acceptable Use

You agree not to use the Service to:

• upload or manage content depicting minors, non-consenting individuals, or anyone whose rights you do not hold;
• submit false DMCA notices or use the takedown tools to harass or to target content you do not own;
• infringe intellectual property, impersonate others, or misrepresent your identity or affiliation;
• circumvent the marketplace, its escrow, its fees, or its safety measures (see Section 6);
• scrape, reverse-engineer, overload, or interfere with the Service or its security; or
• violate any applicable law or any platform's terms in connection with content you publish through us.

6. Marketplace, Fees & Escrow

Where available, the cross-promotion marketplace lets creators transact with one another. Funds for marketplace deals are held in escrow and released per the agreed deliverables; OnlyEngage charges a platform fee on completed transactions, disclosed before you confirm a deal. Payment processing and escrow are handled by Stripe and are subject to Stripe's terms. Attempting to move a marketplace transaction off-platform to avoid fees, escrow, or safety review is a violation of these Terms. Subscription and credit-pack pricing is shown at the point of purchase; charges are billed through Stripe and, unless stated otherwise, are non-refundable except where required by law.

7. Intellectual Property & Copyright

The Service, excluding Your Content, is owned by OnlyEngage and protected by intellectual-property laws. We respond to copyright claims under the DMCA — submit notices or counter-notices to legal@onlyengage.com. We terminate the accounts of repeat infringers in appropriate circumstances.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that DMCA scanning will detect all infringements or that takedowns will succeed.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONLYENGAGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU PAID US NOTHING.

10. Indemnification

You agree to indemnify and hold harmless OnlyEngage and its officers, members, and employees from any claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination — including ownership, disclaimers, liability limits, indemnification, and dispute resolution — survive.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Rhode Island, without regard to its conflict-of-laws rules. Any dispute not resolved informally will be brought in the state or federal courts located in Rhode Island, and you consent to their jurisdiction, except where applicable law provides otherwise.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
